Terms of Service

1. Acceptance of Terms

By accessing or using the Ampl platform ("Service"), including the website at tryampl.com and the application at app.tryampl.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Ampl ("we," "our," or "us").

2. Description of Service

Ampl is an advertising platform that enables artists, podcasters, streamers, promoters, and other creators to compile ad campaigns, launch them on Meta Platforms (Instagram and Facebook), and track performance. The Service includes AI-powered creative generation, campaign management, smart link creation, and analytics tools.

3. Account Registration

• You must be at least 18 years of age to create an account and use the Service.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate, current, and complete information during registration and to update it as necessary.
• We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or abusive purposes.

4. User Content

You retain ownership of all content you upload to the Service, including artwork, images, and creative materials ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing the Service, including:

• Generating ad creatives from your uploaded artwork.
• Submitting ads to Meta Platforms on your behalf under your direction.
• Displaying previews of your content within the Service.

You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe on the intellectual property or publicity rights of any third party.

5. Prohibited Conduct

You agree not to:

• Use the Service to promote content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Upload content that infringes on the intellectual property, trademark, copyright, or privacy rights of others.
• Attempt to circumvent any security features, API rate-limits, or access restrictions of the Service.
• Use the Service to distribute spam, malware, or other harmful code.
• Resell, sublicense, or provide the Service to third parties without our written consent.
• Violate Meta's Advertising Policies or any other third-party platform policies through your use of the Service.

6. Payments, Subscriptions, & Billing

• Certain features of the Service require payment, including subscription plans and token purchases.
• All prices are displayed in Canadian Dollars (CAD) unless otherwise explicitly stated.
• Payments are processed through secure third-party payment processors (such as Stripe). We do not store your full payment card details.
• Subscription fees are billed on a recurring basis. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period. No partial refunds are issued for mid-cycle cancellations.
• Ad spend budgets are separate from Ampl subscription fees. Ad spend is paid directly to Meta Platforms and is governed by Meta's billing policies. You are solely responsible for setting, monitoring, and paying for ad budgets on Meta.
• All purchases of AI generation tokens are final and non-refundable unless required by applicable consumer law. Unused tokens have no cash value.

7. Third-Party Services & Meta Ad Platform Release

The Service integrates with third-party platforms, specifically Meta Platforms (Facebook and Instagram). Your use of these integrations is subject to the respective terms, developer policies, and advertising guidelines of those platforms.

Important Liability Waiver:Ampl is an independent campaign builder utility. We have no control over Meta's automated ad approval systems, policy enforcement, or delivery performance. Accordingly, you agree that:

• We are not responsible or liable for any ad campaign rejections, bans, page locks, or full ad account suspensions executed by Meta Platforms.
• We have no liability for ad performance, actual reach, click outcomes, conversion rates, or billing overruns incurred directly within your Meta ad accounts.
• Campaign delivery and budget enforcement are ultimately governed by Meta's systems, and you hold us harmless from any Meta-side discrepancies.

8. Intellectual Property

The Service, including its design, features, code, branding, and documentation, is owned by Ampl and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our express written permission.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that any specific advertising results, conversions, or follower growth will be achieved.

10. Limitation of Liability

To the fullest extent permitted by law, Ampl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service, regardless of the cause of action or theory of liability. Our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ampl and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your Meta ad campaigns, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time. Sections regarding intellectual property, disclaimers, limitations of liability, arbitration, and indemnification shall survive termination.

13. Dispute Resolution & Binding Arbitration

Please read this section carefully, as it affects your legal rights, including your right to file a lawsuit in court.

• Informal Resolution: In the event of a dispute, you and Ampl agree to attempt to resolve the issue informally for at least thirty (30) days prior to initiating any formal proceedings. Notice of a dispute should be sent to the contact address listed below.
• Binding Arbitration: If the dispute is not resolved informally, it shall be resolved exclusively through final and binding arbitration in Toronto, Ontario, Canada, in accordance with the Arbitration Act (Ontario). The arbitrator's decision shall be final and binding on both parties.
• Class Action Waiver: You and Ampl agree that any proceedings to resolve disputes will be conducted solely on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in class actions against Ampl.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms that are not subject to arbitration shall be resolved in the courts located in Toronto, Ontario, Canada.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
